These Terms of Service (“Terms”) govern access to and use of the AgentProof protocol scanning service (the “Service”) operated by Reinking Software Consulting LLC (“RSC,” “we,” “us,” or “our”), a Texas limited liability company. By creating an account or using the Service, you (“Merchant,” “you,” or “your”) agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
“AgentProof Score” means the numeric benchmark score produced by the Service. It is a point-in-time diagnostic benchmark — not a certification, rating, endorsement, or guarantee of any outcome.
“Badge” means the AgentProof visual badge asset made available to qualifying Merchants. Use is governed by the Badge Usage Policy.
“Protocol Standards” means UCP, ACP, AP2, and any other third-party specifications the Service scans against. RSC does not own or control any Protocol Standard.
“Scan” means a single automated inspection of a Store URL against one or more Protocol Standards as of the scan date and time.
“Store URL” means the publicly accessible web address of a Merchant’s e-commerce store submitted for scanning.
2. Scope of Service
2.1 What AgentProof Does
The Service fetches and inspects publicly accessible content at a Store URL, compares observed behavior against published Protocol Standard specifications, and produces a Scan Report with an AgentProof Score, grade, categorized findings, and remediation guidance.
2.2 What AgentProof Does NOT Do
Not a certification authority. RSC has no affiliation with Google, OpenAI, Stripe, or the organizations that govern any Protocol Standard. The AgentProof Score is a benchmark, not a certification.
No guarantee of agent transaction success. A passing score does not guarantee that any AI shopping agent will complete a transaction on a Merchant’s store.
No modification of Merchant systems. The scanner-only Service reads publicly accessible data only. Auto-remediation features require separate Merchant confirmation before any file change is made.
No legal, regulatory, or compliance advice. Nothing in a Scan Report constitutes legal advice.
3. Fees, Payment, and Subscription
Free tier (Scout) access is provided without charge. Paid plans (Certified and Agency) are billed monthly in advance via Stripe. Fees are non-refundable except as required by law. RSC may change pricing with at least 30 days’ notice.
4. Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. RSC does not warrant that a passing AgentProof Score will result in successful transactions with any AI shopping agent. Protocol Standards are maintained by third parties and may change at any time. Scan results reflect published specifications as of the scan date.
Every Scan Report includes the following non-removable disclosure:
“AgentProof is an independent protocol compliance scanning tool. UCP, ACP, and AP2 are third-party protocol standards. AgentProof has no affiliation with Google, OpenAI, Stripe, or their protocol organizations. Protocol specifications are subject to change. Scan results reflect published specifications as of the scan date.”
5. Limitation of Liability
RSC’s total aggregate liability for all claims shall not exceed the greater of (a) fees paid by Merchant in the twelve months preceding the claim, or (b) $100 for free-tier users. RSC is not liable for indirect, consequential, or punitive damages.
6. Governing Law and Dispute Resolution
These Terms are governed by Texas law. Disputes are resolved by binding arbitration (AAA Commercial Rules, El Paso TX venue) on an individual basis — class actions are waived. IP claims and injunctive relief may be brought in court.
7. Changes to These Terms
RSC may modify these Terms with at least 30 days’ notice by email and by posting the updated Terms at useagentproof.com/terms.
